KAPCO discloses that associated company Attock Cement is evaluating a potential merger with Fauji Cement Company Limited.

Kot Addu Power Company Limited (PSX: KAPCO) has informed the Pakistan Stock Exchange (PSX) that its associated company, Attock Cement Pakistan Limited, is exploring and evaluating the feasibility of a potential merger with Fauji Cement Company Limited.

In a regulatory disclosure dated August 11, 2026, KAPCO said it holds around 46% of the issued share capital of Attock Cement, making the cement manufacturer an associated company of KAPCO.

The disclosure follows a separate announcement by Attock Cement, whose Board of Directors authorised management to assess the feasibility of a potential merger of the company with Fauji Cement and present its recommendations to the board for consideration. The development remains at the evaluation stage, with no final merger transaction announced in the disclosure.

Attock Cement's board also approved a proposal to shift the company's registered office from Karachi, Sindh, to Rawalpindi, Punjab, subject to shareholder approval through a special resolution and completion of applicable statutory and regulatory requirements.

The company did not announce a final cash dividend for the year ended June 30, 2026. However, it had already paid an interim dividend of Rs0.50 per share, equivalent to 5%. No bonus shares, right shares or other entitlements were announced.

Attock Cement's Annual General Meeting is scheduled for September 22, 2026, at 11:00am in Karachi, while its share transfer books will remain closed from September 15 to September 22, 2026.
